Terms of Service

1. Introduction

Zuji is a voice API service provided by Argentic Labs (“Argentic Labs”, “we”, “us”, or “our”). These Terms of Service (“Terms”) govern your access to and use of the Zuji API (the “Service”). By accessing or using the Service, you agree to be bound by these Terms.

2. Service Description

Zuji is an API that allows for the initiation and management of automated voice interactions. The Service includes features for initiating calls, defining interaction flows, using template variables for personalised communication, and receiving notifications for various stages of an interaction.

3. Service Levels

Argentic Labs provides support for the Service through a tiered system:

  • Tier 1 Support: Is provided by an automated chatbot service, available 24 hours a day, 7 days a week, to assist with common queries and issues.
  • Tier 2 Support: For more complex issues, support is provided on a best-efforts basis. Our team will respond within 24 hours during standard business hours (Monday to Friday, 9:00 AM – 5:00 PM AEST).

4. Account Registration and API Keys

To use the Service, you must create an account through the Zuji application. You are responsible for all activities that occur under your account. You must obtain an API key from the ‘API keys’ page within the Zuji application to access the API. You agree to keep your API key confidential and not to share it with any third party. You are responsible for any use of the Service through your API key.

5. Use of the Service

You agree to use the Service in compliance with all applicable laws and regulations, including the Spam Act 2003 (Cth) and the Do Not Call Register Act 2006 (Cth). You are solely responsible for the content of any communications initiated through the Service.

6. Data and Privacy

6.1. Your Data: You retain all ownership rights to the data you provide to the Service.

6.2. Service Data: We may collect and analyse data and other information relating to the provision, use, and performance of various aspects of the Services and related systems and technologies. This data will be used to improve and enhance the Services and for other development, diagnostic, and corrective purposes.

6.3. Recordings and Transcripts: The Service may generate audio recordings and transcripts of the voice interactions. You are responsible for obtaining any necessary consents from the recipients of the calls for the recording and transcription of the interactions. You can retrieve these assets as described in our documentation. We will retain these assets in accordance with our data retention policy and applicable laws.

6.4. Privacy Policy: Our collection and use of personal information in connection with your access to and use of the Service is described in our Privacy Policy.

7. Intellectual Property

All rights, title, and interest in and to the Service and its components, including all related intellectual property rights, are and will remain the exclusive property of Argentic Labs.

8. Fees and Payment

Your use of the Service is subject to the fees outlined on our pricing page or as otherwise agreed upon in writing. We reserve the right to change our fees at any time, and we will provide you with reasonable notice of any such changes.

9. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

10. Disclaimers and Limitation of Liability

10.1. Disclaimer of Warranties: The Service is provided on an “as is” and “as available” basis. We make no warranties, express or implied, regarding the operation or availability of the Service, or the information, content, or materials included therein.

10.2. Limitation of Liability: To the fullest extent permitted by law, Argentic Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Service; (b) any conduct or content of any third party on the Service; (c) any content obtained from the Service; or (d) unauthorized access, use, or alteration of your transmissions or content.

11. Indemnification

You agree to indemnify and hold harmless Argentic Labs, its affiliates, and their respective officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to legal fees), resulting from or arising out of your use and access of the Service, or a breach of these Terms.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of New South Wales and the Commonwealth of Australia, without regard to their conflict of law provisions.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
